These Terms of Service (“Terms”) govern your use of the ORI DRIVE mobile application (the “App”) operated by OriDrive (“we”, “our”, or “us”). By using the App you agree to these Terms. If you do not agree, do not use the App.
1. Eligibility and Accounts
- ORI DRIVE is an enterprise (B2B) transport management application. Accounts are provisioned by your organization's administrator; self-signup is not available.
- You must be at least 18 years old to use the App.
- You are responsible for maintaining the confidentiality of your login credentials. Notify your admin immediately of any unauthorized access.
- Your account is tied to your organization. If your employment or relationship with the organization ends, your admin may revoke access at any time.
2. Acceptable Use
You agree not to:
- Use the App for any unlawful purpose or in violation of these Terms.
- Impersonate another person or misrepresent your affiliation with any organization.
- Interfere with, disrupt, or attempt to gain unauthorized access to the App, its servers, or related infrastructure.
- Reverse engineer, decompile, or attempt to extract source code from the App, except where permitted by law.
- Use the in-app chat or any communication feature to harass, abuse, threaten, or harm other users, or to transmit unlawful, defamatory, or otherwise objectionable content.
- Upload or transmit content that infringes intellectual property, privacy, or other rights of any party.
- Use the App in a way that could damage, disable, overburden, or impair our servers or networks.
We reserve the right to suspend or terminate any account that violates these Terms.
3. Driver Responsibilities
If you use the App as a driver:
- You must hold a valid driving licence and comply with all applicable traffic and transport laws.
- You are responsible for safe operation of the vehicle. Do not interact with the App while driving. Pull over before responding to OTP, chat, or navigation prompts.
- OTP verification at pickup and drop is mandatory; do not bypass or share OTPs except as designed.
- Location sharing is required during active trips so that passengers and your admin can see real-time progress.
4. Passenger Responsibilities
If you use the App as a passenger / employee:
- Share OTPs only with your assigned driver at the time of pickup or drop.
- Treat drivers respectfully. Reports of harassment may result in account suspension.
- The App displays driver location and ETA based on real-time data; estimates may vary due to traffic, weather, or route conditions.
5. User-Generated Content (Chat and Reports)
- The App provides limited in-app messaging between drivers and passengers for trip coordination.
- You retain ownership of content you submit, but grant us a non-exclusive licence to host, store, and display it as needed to operate the service.
- Messages are visible to your trip counterpart and may be reviewed by your organization admin and our team for safety, support, and compliance.
- You may report abusive or inappropriate messages from within the chat. We will review reports and may remove content or suspend accounts at our discretion.
- We do not tolerate harassment, hate speech, threats, or sexually explicit content. Such content will be removed and the responsible account suspended or terminated.
6. Service Availability
- We strive for high availability but do not guarantee uninterrupted access. The App may be temporarily unavailable due to maintenance, network issues, or factors beyond our control.
- Real-time features (live tracking, ETA, chat) require an active internet connection on both ends.
- We may add, modify, or remove features at any time without notice.
7. Third-Party Services
The App integrates with third-party services to operate, including:
- Google Maps — routing, geocoding, and map display.
- Exotel / Twilio — masked phone calls between drivers and passengers.
- Firebase Cloud Messaging — push notifications.
- OpenRouteService — alternate routing.
These providers have their own terms and privacy policies which apply to the data they process on our behalf.
8. Intellectual Property
- The App, its branding, design, code, and content are owned by OriDrive and protected by intellectual property laws.
- You receive a limited, non-exclusive, non-transferable, revocable licence to use the App solely for its intended purpose.
- You may not copy, modify, distribute, sell, or lease any part of the App.
9. Privacy
Your use of the App is also governed by our Privacy Policy, which describes what we collect, how we use it, and your rights. By using the App you acknowledge the Privacy Policy.
10. Account Termination
- By you: You may delete your account at any time from the in-app Profile screen, or by emailing support@oridrive.org. We process deletion within 30 days; some data may be retained for legal, audit, or billing purposes.
- By your admin: Your organization admin may revoke your account at any time.
- By us: We may suspend or terminate accounts that violate these Terms, abuse the service, or pose a safety risk, with or without notice.
11. Disclaimers
- The App is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
- We do not warrant that the App will be error-free, secure, or available at any particular time.
- Trip ETAs, traffic data, and routing are estimates; we do not guarantee accuracy.
12. Limitation of Liability
To the fullest extent permitted by law, OriDrive and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use of (or inability to use) the App. Our total cumulative liability shall not exceed INR 1,000 or the amount your organization paid us for App access in the 12 months preceding the claim, whichever is greater.
13. Indemnification
You agree to indemnify and hold harmless OriDrive, its affiliates, and their officers, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms or misuse of the App.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.
15. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted at this URL with a new “Last updated” date. Material changes will be communicated via the App or email. Continued use of the App after changes means you accept the updated Terms.
